End User License For Seamlessql

Facdatum Limited hereby gives you a non-exclusive license to use the Software Seamlessql.

For evaluation, the license is granted and the Software can be used for 30 days in order to determine whether or not the Software meets the intended needs and performs satisfactorily.

For full licensed usage, a license fee must be paid. Current license costs are presented on the Seamlessql Product website.

You may:

• use the Software on any single computer;
• use the Software on a second computer so long as the primary used of each copy is the same person and more than one copy is not used simulataneously;
• copy the Software for backup purposes, provided any copy contains all of the original Software’s proprietary notices.

If you have an unlimited user license then you may use the Software on any number of computers within your business entity.

You may not:

• permit other individuals to use the Software except under the terms listed above;
• modify, translate, reverse engineer, decompile, disassemble the Software (except to the extend applicable laws specifically prohibit such restriction);
• create derivative works based on the Software;
• copy the Software (except as specified above);
• rent, lease, transfer or otherwise transfer rights to the Software;
• remove any proprietary notices or labels on the Software.

TERMINATION

The license will terminate automatically if you fail to comply with the limitations described above. On termination, you must destroy all copies of the Software.

UPDATES AND SUPPORT

For the duration of 1 year from the date of the purchase of the license, you are entitled to submit queries on the Software by email to the Software support team. For email support, send an email giving an example of the problem and a clear explanation of your query to the email address given in the Software. Facdatum Limited shall use its reasonable endevours to answer email support queries raised, but does not guarantee that your queries or problems will be fixed or solved.

The Software may be subject to bug fixes, minor improvements and enhancements over time. For the duration of 1 year from the date of the purchase of the license, you are entitled to obtain these updates from the Seamlessql website as they are made available.

Facdatum Limited will notify you when your support period is due to expire, and afford you the opportunity to purchase an additional period of support and access to software updates.

DISCLAIMER OF WARRANTY

The Software is provided on an AS IS basis without warranty of any kind, including without the warranties of merchantability, fitness for a particular purpose and non-infringement. Facdatum Limited is not responsible for any indirect, special, incidental or consequential damages of any character including, without limitation, damages for loss of goodwill, work stoppage, computer failure or malfunction, loss of data, or any and all other commercial damages or losses arising in any way out of the distribution or use of this Software.
